We serve as supervisor to Cayman Islands foundation companies, providing oversight that is structurally independent of the foundation Board of Directors and any other governance functions. Our appointment ensures that the supervision of a foundation is free from any potential conflicts, ensuring that stakeholders, members (where applicable) and beneficiaries (where applicable) can have full confidence in the foundation's governance.

Where a Foundation's Board of Directors or a related party acts as Supervisor, there is a very real conflict of interest, as the Supervisor is typically the party which replaces the Board of Directors. We structure our engagement to minimise the risk of governance conflicts of interest - providing a clear separation of roles to satisfy the expectations of regulators, advisors and stakeholders.

How We Work
Our engagement process is straightforward and designed to minimise disruption to existing foundation arrangements.
Initial Consultation
We begin with a confidential discussion to understand the foundation's structure, the existing governance arrangements, and the specific requirements of the appointing parties. There is no obligation at this stage.
Document Review
We review the foundation's constitutional documents, any existing supervisory arrangements, and relevant correspondence to assess the scope of the supervisory appointment and identify any matters requiring early attention.
Appointment and Onboarding
We are appointed as supervisor by the appropriate mechanism under the foundation's constitutional documents. We engage with the Board of Directors and administrator to establish clear lines of communication and agree the practical arrangements for the ongoing supervisory relationship.
Ongoing Supervision
We carry out our supervisory functions with the Board providing us regular reporting on their activity. We engage constructively on any matters of concern raised by the Board or stakeholders, and provide reporting as required — always acting in the best interests of the foundation.

A Firm Built Around Independence
FUD Ltd was established to address a specific and important gap in the Cayman Islands foundation market: the need for a supervisor that is genuinely independent of the foundation's Board of Directors and and their related companies, to prevent any perception or risk that a Board could be seen to be supervising themselves or have the power to replace the very party who is supervising the Board.
Under the Cayman Islands Foundations Companies Law, a foundation may appoint a supervisor to provide oversight of the Board of Directors' activities. FUD Ltd exists solely to act as independent supervisor. We will not act as supervisor where any of our UBOs are serving on a board, irrespective of any conflict waiver. We believe in genuine independence in governance.
